This document is published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which require publishing Terms of Use for access or usage of the domain goldspinelearning.com ("Website" or "Site"), including any related mobile site (collectively, the "Platform").

The Platform is owned and operated by GoldSpine Learning Private Limited, a company with its registered office at Ratapur, Raebareli, Uttar Pradesh, India (hereinafter referred to as "GoldSpine Learning," "We," "Us," or "Our").

For the purposes of this document, "You," "Your," or "User" means any person who accesses, browses, or transacts on the Platform.

BY ACCESSING, BROWSING, OR OTHERWISE USING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE. PLEASE READ THEM CAREFULLY BEFORE PROCEEDING. By using the Platform, You also agree to be bound by Our other policies, including the Privacy Policy, Refund Policy, and Cookie Policy, as amended from time to time.

1. Eligibility

• You must be at least 18 years of age to place an order on the Platform, or must be using it under the supervision of a parent or legal guardian.
• You must have the legal capacity to enter into a binding contract.
• If You are registering or transacting on behalf of an organization or institution (e.g., a college, coaching institute, or corporate), You confirm that You have the authority to bind that entity to these Terms.

2. Account & Registration

• You may browse the Platform without creating an account; however, certain features (such as order tracking, wishlists, or checkout) may require registration.
• You are responsible for maintaining the confidentiality of Your account credentials and for all activity that occurs under Your account.
• You agree to provide accurate, current, and complete information at the time of registration and checkout, including Your name, shipping address, and email.
• We reserve the right to suspend or terminate any account found to contain false, misleading, or fraudulent information.

3. Products & Orders

• The Platform sells educational books, eBooks, flashcards, reference sheets, and kits across categories including but not limited to interior design, Vastu, beauty and wellness, and professional education.
• All product descriptions, images, and pricing are provided to the best of Our knowledge; however, We do not warrant that such information is entirely free of errors. We reserve the right to correct pricing or product errors and to cancel any order affected by such an error, with a full refund where payment has already been made.
• Orders are confirmed only after successful payment or, where applicable, confirmation of a Cash on Delivery (COD) order.
• We reserve the right to refuse or cancel any order at Our discretion, including in cases of suspected fraud, abuse, or unavailability of stock.

4. Payments & Cash on Delivery (COD)

• The Platform accepts payments via UPI, credit/debit cards, net banking, and other methods as displayed at checkout, as well as Cash on Delivery where offered.
• For COD orders, You agree to make payment in full to the delivery partner at the time of delivery. Repeated refusal of COD orders may result in restriction of the COD option for Your account.
• All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

5. Shipping & Delivery

• Estimated delivery timelines are provided at checkout and are indicative, not guaranteed. Delays may occur due to logistics, weather, or circumstances beyond Our control.
• Risk of loss and title for physical products pass to You upon delivery to the shipping address provided by You.
• Digital products (eBooks, digital flashcards) are delivered electronically to the email address provided at checkout, or made available for download through Your account.

6. Returns, Refunds & Cancellations

• Returns, refunds, and cancellations are governed by Our separate Refund Policy, available at [goldspinelearning.com/pages/refund-policy], which forms part of these Terms.
• Digital products, once delivered or downloaded, are generally non-refundable except where required by law or expressly stated otherwise in the Refund Policy.

7. Intellectual Property Rights

• All content on the Platform — including but not limited to book content, flashcard designs, illustrations, layouts, logos, product photography, and website design — is the exclusive property of GoldSpine Learning or its licensors, and is protected under Indian copyright, trademark, and related intellectual property laws.
• Purchasing a product (physical or digital) grants You a limited, personal, non-transferable license to use that product for Your own use. It does not transfer any ownership of the underlying intellectual property.
• You may not reproduce, resell, redistribute, publicly display, or create derivative works from any content on the Platform without Our prior written consent.
• Unauthorized reproduction or distribution of Our books, flashcards, or digital content may result in termination of Your account and legal action.

8. Author & Partner Content

• Authors, educators, and partners who submit content to be published or distributed through the Platform do so under the terms of their separate written agreement with GoldSpine Learning (e.g., a publishing or royalty agreement). These Terms of Use govern general Platform access and do not override any such separate agreement.
• By submitting content, an author/partner confirms that they own the rights to the content submitted, or have the necessary permissions to grant Us the rights required to publish and distribute it.

9. User Conduct

You agree that You shall not:

• Use any automated tool, bot, scraper, or similar method to access, copy, or extract content from the Platform without Our written permission;
• Attempt to gain unauthorized access to any part of the Platform, its servers, or connected networks;
• Post or transmit any unlawful, defamatory, obscene, or infringing content through any reviews, comments, or forms on the Platform;
• Impersonate any person or entity, or misrepresent Your affiliation with any person or entity;
• Use the Platform for any purpose that is unlawful or prohibited by these Terms;
• Send unsolicited commercial communications ("spam") to other Users or to Us through the Platform's contact channels.

We reserve the right to restrict or terminate access for any User found to be in violation of the above.

10. Reviews & User-Generated Content

• If the Platform allows product reviews, comments, or testimonials, You agree that any content You submit will be honest, non-defamatory, and free of unlawful material.
• We reserve the right to moderate, edit, or remove any user-generated content at Our discretion, without prior notice.
• By submitting a review or testimonial, You grant Us a non-exclusive, royalty-free right to display and use that content on the Platform and in Our marketing materials, unless You request otherwise in writing.

11. Third-Party Links

The Platform may contain links to third-party websites (e.g., social media, payment gateways, courier tracking). We do not control and are not responsible for the content, policies, or practices of any third-party website. Access to such links is at Your own risk.

12. Disclaimer of Warranties

• The Platform and all content, products, and services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, except as required by law.
• We do not warrant that the Platform will be uninterrupted, error-free, or entirely secure.
• We do not warrant the outcomes (academic, professional, or otherwise) that a User may or may not achieve from using Our books, flashcards, or other educational products. All content is provided for informational and educational purposes.

13. Limitation of Liability

To the fullest extent permitted by law, GoldSpine Learning, its directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with Your use of the Platform or Our products. Our total liability in any matter arising from these Terms shall not exceed the amount actually paid by You for the relevant product or order.

14. Indemnification

You agree to indemnify and hold GoldSpine Learning, its officers, employees, and affiliates harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising out of Your breach of these Terms, Your misuse of the Platform, or Your violation of any third-party rights.

15. Privacy

Your use of the Platform is also governed by Our Privacy Policy, available at [goldspinelearning.com/pages/privacy-policy], which is incorporated into these Terms by reference.

16. Modifications to the Platform & Terms

• We reserve the right to modify, suspend, or discontinue any part of the Platform, including products, pricing, and features, at any time without prior notice.
• We may revise these Terms of Use from time to time. The revised Terms will be effective upon posting on the Platform. Continued use of the Platform after any changes constitutes Your acceptance of the revised Terms.

17. Term & Termination

We reserve the right, at Our sole discretion, to suspend or terminate Your access to the Platform at any time, for any reason, including violation of these Terms, without prior notice or liability.

18. Dispute Resolution, Jurisdiction & Governing Law

• These Terms shall be governed by and construed in accordance with the laws of India.
• In the event of any dispute, the Parties shall first attempt to resolve the matter amicably through good-faith negotiation.
• If unresolved within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration in Raebareli, Uttar Pradesh, India.
• Subject to the above, the courts at Raebareli, Uttar Pradesh shall have exclusive jurisdiction over any disputes arising from these Terms.

20. Miscellaneous

• These Terms, along with the Privacy Policy and Refund Policy, constitute the entire agreement between You and GoldSpine Learning regarding use of the Platform.
• If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
• Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between You and GoldSpine Learning.
